Introduction
Welcome to Hi Faro. By engaging our services or using this website, you agree to the terms below.
Hi Faro is a boutique web design, SEO, and AI automation studio based in Calgary, Alberta, Canada. We serve clients in Canada and Mexico under the same brand and the same terms. These terms apply to all engagements regardless of client location.
We'd rather talk through any question than have you wade through legalese. Email us at hello@hifaro.com and we'll read every message.
Services
Hi Faro offers web development, SEO and local visibility, business automation, and custom application development. Each engagement begins with a written scope of work agreed upon before any work starts.
Our services are project-based. Unless otherwise stated in writing, ongoing support, hosting maintenance, and post-launch changes are not included in a project quote.
What's included is defined by your proposal. Additional pages, features, or integrations requested after work has begun are new scope and will be quoted separately.
Payment & Invoicing
A 50% deposit is required before any work begins. This deposit is non-refundable once the project has been initiated.
The remaining 50% is due upon delivery of final deliverables. Files, credentials, and live deployment will not be transferred until the final invoice is paid in full.
Payment terms are net 15 from the invoice date. Invoices unpaid after 15 days are subject to a late fee of 2% per month on the outstanding balance.
We invoice in Canadian dollars (CAD) unless otherwise agreed in writing. International clients are responsible for any currency conversion or transfer fees.
Intellectual Property
Upon receipt of full payment, the client owns all final deliverables: design files, code, copy, and assets created specifically for the project.
Hi Faro retains the right to display completed work in our portfolio, website, and social media for promotional purposes, unless the client requests otherwise in writing before project completion.
Third-party tools, fonts, plugins, or libraries used in the project remain subject to their own licensing terms. We'll flag any assets that require a separate client license.
Confidentiality
Both parties agree to keep each other's business information confidential, including strategies, pricing, client lists, and any non-public information shared during the engagement.
Confidentiality obligations survive the end of the project and remain in effect indefinitely for genuinely sensitive material.
This does not prevent Hi Faro from showcasing completed work publicly, as described in the Intellectual Property section above.
Revisions & Scope
Each project includes a defined number of revision rounds, specified in your proposal. A revision is a refinement of something already agreed upon: adjusting copy, tweaking colors, or minor layout changes.
A revision is not new scope. Adding pages, changing the fundamental structure, introducing new features, or redirecting the project mid-work are new scope items and will be quoted separately.
If revision requests push into new scope territory, we'll flag it before proceeding so there are no surprises.
Termination
Either party may terminate the engagement with written notice.
If the client cancels a project mid-production (after the deposit has been paid and work has begun), a kill fee of 25% of the remaining unpaid balance is owed to Hi Faro to cover completed work and allocated time.
If Hi Faro terminates the engagement without cause, the unused portion of the deposit will be refunded.
Work completed up to the point of termination remains the property of Hi Faro until all outstanding fees are settled.
Limitation of Liability
Hi Faro's total liability for any claim arising from an engagement is capped at the total fees paid by the client for that specific project.
We are not liable for indirect, incidental, or consequential damages (including loss of revenue, loss of data, or business interruption), even if we've been informed of that possibility.
We do our best work every time. But no website, automation, or software guarantees specific business results, and we make no such guarantee.
Governing Law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
This applies to all clients regardless of location. If you're based in Mexico or anywhere else, Alberta law governs the engagement.
Any disputes will be resolved in Alberta, Canada. If any clause of these terms is found unenforceable, the rest remain in full effect.
